1. Agreement to Terms

By accessing gotechsolutions.co or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our website or services. If you enter into a separate signed statement of work, master services agreement, or proposal with us, that document controls for the specific engagement to the extent it conflicts with these Terms.

2. Our Services

Go Tech Solutions provides custom software development, web and mobile applications, UI/UX design, enterprise solutions, business process automation, technical consultancy, staff augmentation, and related technology services for businesses. Service scope, deliverables, timelines, and fees are defined in project-specific agreements agreed between you and Go Tech.

3. Acceptable Use of the Website

You agree not to:

• Use the website in any unlawful manner or for fraudulent purposes
• Attempt to gain unauthorized access to our systems, accounts, or networks
• Transmit malware, spam, or harmful code
• Scrape, copy, or misuse content without our written permission
• Impersonate Go Tech Solutions or misrepresent your affiliation with us

We may suspend or restrict access to the website if we reasonably believe you have violated these Terms.

4. Client Responsibilities

When you engage us for services, you agree to:

• Provide timely feedback, approvals, and materials needed to perform the work
• Ensure you have rights to any content, data, or assets you supply

• Pay invoices according to agreed payment terms
• Comply with applicable laws in your use of deliverables we provide

Delays caused by missing inputs or late approvals may affect schedules and are not our responsibility unless otherwise agreed in writing.

5. Intellectual Property

Our pre-existing materials

We retain ownership of methodologies, tools, libraries, templates, and know-how developed before or outside your project. We grant you a license to use deliverables as specified in your project agreement.

Project deliverables

Ownership of custom work product is typically transferred to you upon full payment, as stated in your statement of work or contract. Until then, we retain rights necessary to complete and deliver the project. Third-party components may remain subject to their own licenses.

Website content

Text, graphics, logos, and design on our website are owned by Go Tech Solutions or our licensors and may not be reproduced without permission.

6. Payment and Project Terms

Fees, milestones, change requests, and payment schedules are set out in your proposal or contract. Unless otherwise agreed:

• Quotes and estimates are non-binding until accepted in a signed or written agreement
• Scope changes may require additional fees and timeline adjustments
• Late payments may incur interest or suspension of work as permitted by law
• Taxes, if applicable, are your responsibility unless stated otherwise

7. Confidentiality

Each party may receive confidential information from the other during an engagement. Both parties agree to use reasonable care to protect confidential information and not disclose it except to employees, contractors, or advisors who need to know and are bound by similar obligations, or as required by law. Confidentiality terms in a signed NDA or MSA take precedence where they exist.

8. Disclaimers

Our website and general marketing materials are provided for informational purposes. Except as expressly stated in a written agreement, services and the website are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of harmful components. Results from software projects depend on many factors, including your requirements, cooperation, and third-party systems.

9. Limitation of Liability

To the maximum extent permitted by law, Go Tech Solutions and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the website or our services.

Our total liability for any claim arising from these Terms or general website use shall not exceed the greater of (a) amounts you paid us for the specific service giving rise to the claim in the twelve months before the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Go Tech Solutions from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the website, violation of these Terms, infringement of third-party rights by materials you provide, or unlawful use of deliverables, except to the extent caused by our gross negligence or willful misconduct.

11. Termination

We may terminate or suspend website access at any time for any reason. Project engagements may be terminated according to the terms in your contract, including provisions for work completed, fees due, and transition assistance. Sections that by nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or website use shall be brought in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction in those courts.

Before filing suit, the parties agree to attempt in good faith to resolve disputes through direct negotiation for at least thirty (30) days after written notice.

13. Changes to These Terms

We may modify these Terms at any time by posting an updated version on this page with a revised effective date. Your continued use of the website after changes constitutes acceptance. For active client projects, the Terms in effect at contract signing apply to that project unless both parties agree otherwise in writing.
